1. Introduction

Welcome to AdvizeU ("AdvizeU," "the Platform," "the Service," "we," "us," or "our"), a product owned and operated by BytezTech Pvt Ltd ("BytezTech," "the Company"), a company engaged in AI/ML development and technology solutions, headquartered at RIO IT Park, Surat, Gujarat, India.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BytezTech Pvt Ltd governing your access to and use of the AdvizeU platform, including any associated websites, mobile applications, APIs, content, features, and services made available through AdvizeU (collectively, the "Services").

By accessing, browsing, registering for, or otherwise using AdvizeU in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

2. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using AdvizeU, you confirm that:

1. You have read and understood these Terms in their entirety.
2. You are of legal age (18 years or older) or possess the legal capacity to enter into a binding contract under applicable law.
3. If you are using AdvizeU on behalf of an organization, business, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.
4. You will comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services.

BytezTech reserves the right to refuse service, terminate accounts, or cancel access to the Services at its sole discretion if these Terms are violated.

3. Description of Services

AdvizeU is a technology platform developed by BytezTech that provides advisory, consultation, guidance, and/or AI-assisted decision-support tools to its users. The specific features, tools, and functionalities offered through AdvizeU may include, but are not limited to:

• AI-powered advisory and recommendation tools
• Personalized guidance based on user-provided information
• Access to informational content, resources, and reports
• Interactive dashboards, chat-based assistance, or automated consultation modules
• Integration with third-party data sources or services, where applicable

BytezTech reserves the right to modify, expand, restrict, suspend, or discontinue any feature, tool, or aspect of AdvizeU at any time, with or without notice, and without liability to you.

3.1 Nature of AI-Generated Content

Where AdvizeU utilizes artificial intelligence, machine learning models, or automated systems to generate advice, recommendations, insights, or content:

• Such outputs are generated algorithmically and are provided for informational and guidance purposes only.
• AI-generated content does not constitute professional advice (including but not limited to financial, legal, medical, tax, investment, or career advice) unless explicitly stated otherwise and delivered by a verified human professional through the Platform.
• Users are strongly advised to independently verify any AI-generated recommendations and consult qualified professionals before making decisions based on such content.
• BytezTech does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output for a particular purpose.

4. Eligibility

To use AdvizeU, you must:

1. Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
2. Possess the legal capacity to form a binding contract.
3. Not be barred from using the Services under applicable law, including export control and sanctions laws.
4. Provide accurate, current, and complete information during registration and maintain the accuracy of such information.

BytezTech reserves the right to verify eligibility at any time and to suspend or terminate accounts that fail to meet these requirements.

5. Account Registration and Security

5.1 Account Creation

To access certain features of AdvizeU, you may be required to create an account by providing information such as your name, email address, phone number, and other relevant details. You agree to:

• Provide truthful, accurate, and up-to-date information.
• Promptly update your account information if it changes.
• Maintain the confidentiality of your login credentials.

5.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You agree to notify BytezTech immediately at support@byteztech.in upon becoming aware of any unauthorized use of your account or any other breach of security.

BytezTech shall not be liable for any loss or damage arising from your failure to comply with this section.

5.3 One Account Per User

Unless explicitly permitted by BytezTech, each user may maintain only one active AdvizeU account. Creating multiple accounts to circumvent restrictions, limits, or bans is strictly prohibited.

6. Subscription Plans, Fees, and Payments

6.1 Free and Paid Tiers

AdvizeU may offer both free and paid subscription tiers. The features, usage limits, and pricing associated with each tier will be specified on the AdvizeU website or within the Platform at the time of purchase or subscription.

6.2 Billing

• All fees are quoted in Indian Rupees (INR) unless otherwise stated, and are exclusive of applicable taxes (including GST), which will be added at checkout where applicable.
• Subscriptions may be billed on a recurring basis (monthly, quarterly, or annually) as selected by you at the time of purchase.
• By providing payment information, you authorize BytezTech (or its authorized payment processors) to charge the applicable fees to your chosen payment method on a recurring basis until you cancel your subscription.

6.3 Refunds and Cancellations

• Unless otherwise required by applicable law or explicitly stated in a specific plan's terms, fees paid are non-refundable.
• You may cancel your subscription at any time through your account settings or by contacting support@byteztech.in. Cancellation will take effect at the end of the current billing cycle, and you will retain access to paid features until that date.
• BytezTech reserves the right to offer promotional discounts, trial periods, or refunds at its sole discretion, which shall not create any obligation for future similar offers.

6.4 Price Changes

BytezTech reserves the right to modify subscription pricing at any time. Any price changes will be communicated to existing subscribers in advance and will take effect at the start of the next billing cycle following such notice.

6.5 Failed Payments

If a payment fails, BytezTech reserves the right to suspend or downgrade your access to paid features until payment is successfully processed.

7. User Conduct and Acceptable Use

By using AdvizeU, you agree that you will not:

1. Use the Services for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
2. Upload, transmit, or distribute any content that is defamatory, obscene, abusive, harassing, threatening, discriminatory, or otherwise objectionable.
3. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
4. Attempt to gain unauthorized access to AdvizeU's systems, servers, networks, or any other user's account or data.
5. Interfere with, disrupt, or place undue burden on the Platform's infrastructure, including through the use of bots, scrapers, or automated scripts, unless explicitly authorized via an API agreement.
6. Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, algorithms, or architecture of AdvizeU or its AI systems.
7. Use the Services to develop, train, or improve a competing product or service without prior written consent from BytezTech.
8. Upload or transmit viruses, malware, or any other harmful or malicious code.
9. Use the Platform to collect or harvest personal information about other users without consent.
10. Violate any intellectual property rights of BytezTech or any third party.
11. Submit false, misleading, or fraudulent information through the Platform.

Violation of this section may result in immediate suspension or termination of your account, without prior notice, and BytezTech reserves the right to pursue all available legal remedies.

8. Intellectual Property Rights

8.1 Ownership

All content, features, functionality, software, design elements, trademarks, logos, AI models, algorithms, and other materials made available through AdvizeU (collectively, "BytezTech IP") are the exclusive property of BytezTech Pvt Ltd or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.

8.2 Limited License

Subject to your compliance with these Terms, BytezTech grants you a limited, non-exclusive, non-transferable, revocable license to access and use AdvizeU solely for your personal or internal business purposes, as applicable to your subscription tier.

8.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Services or included software.
• Use BytezTech's trademarks, branding, or trade names without prior written permission.
• Create derivative works based on AdvizeU without explicit authorization.

8.4 User-Generated Content

If AdvizeU allows you to submit, upload, or input content (including queries, documents, or data) ("User Content"), you retain ownership of your User Content. However, by submitting User Content, you grant BytezTech a worldwide, royalty-free, non-exclusive license to use, process, store, and analyze such content solely for the purpose of providing, maintaining, and improving the Services, subject to our Privacy Policy.

9. Privacy and Data Protection

Your use of AdvizeU is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Services, you consent to the data practices described therein.

BytezTech implements reasonable technical and organizational measures to protect user data; however, no method of transmission or storage is completely secure, and BytezTech cannot guarantee absolute security.

10. Third-Party Services and Links

AdvizeU may contain links to, or integrate with, third-party websites, applications, or services that are not owned or controlled by BytezTech. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.

11. Disclaimers

11.1 "As Is" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

11.2 No Guarantee of Outcomes

BytezTech does not guarantee that:

• The Services will be uninterrupted, timely, secure, or error-free.
• Any advice, recommendation, or output generated through AdvizeU (including AI-generated content) will be accurate, complete, or suitable for your specific circumstances.
• Any results, decisions, or outcomes achieved through use of the Platform will meet your expectations.

11.3 Not Professional Advice

Unless expressly stated otherwise, nothing on AdvizeU constitutes professional financial, legal, medical, investment, tax, or other regulated advice. You should seek independent professional consultation before acting on any information or recommendation provided through the Platform.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BYTEZTECH PVT LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF BYTEZTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BYTEZTECH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO BYTEZTECH FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 5,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless BytezTech Pvt Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

1. Your access to or use of the Services.
2. Your violation of these Terms.
3. Your violation of any third-party right, including intellectual property or privacy rights.
4. Any content or data you submit, post, or transmit through the Platform.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting support@byteztech.in or through your account settings, subject to Section 6.3 regarding refunds and cancellations.

14.2 Termination by BytezTech

BytezTech reserves the right to suspend or terminate your access to AdvizeU, in whole or in part, at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms.
• Suspected fraudulent, abusive, or illegal activity.
• Extended periods of account inactivity.
• Discontinuation of the Services.

14.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property rights, disclaimers, limitation of liability, and indemnification) shall continue to apply.

15. Modifications to the Services and Terms

BytezTech reserves the right to modify, update, or discontinue any aspect of AdvizeU, and to revise these Terms, at any time and at its sole discretion. Material changes will be communicated via email, in-app notification, or by posting a notice on the AdvizeU website with an updated "Last Updated" date.

Your continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the Services.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

16.2 Jurisdiction

Subject to Section 16.3, any disputes arising out of or in connection with these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.

16.3 Dispute Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute amicably through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days of written notice, either party may pursue resolution through arbitration under the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Surat, Gujarat, and proceedings conducted in English, or through the courts as set out in Section 16.2.

17. Force Majeure

BytezTech shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, government actions, or pandemics.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by BytezTech in connection with AdvizeU, constitute the entire agreement between you and BytezTech regarding the Services, superseding any prior agreements or understandings, whether written or oral.

20. Waiver

No failure or delay by BytezTech in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of that right.

21. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of BytezTech. BytezTech may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
